Lumentum Is the One Its Playbook Does Not Cover.

On Thursday, October 29, Marvell Technology closed at $218.34, down 13.2%. The Philadelphia semiconductor index (SOX) fell 1.4%. The 11.8-point gap is the clearest measure of the market’s verdict on Bloomberg’s report that Marvell is in advanced talks to buy Lumentum, the laser and optics maker. No price or payment mix has been reported. Not all of the gap is about the deal: Alphabet fell 12.6% the same day after its results, and Marvell designs custom chips for Google. But Broadcom, Google’s larger chip partner, fell only 1.9%. By our measure, it is the worst first reaction to any Marvell acquisition in Matt Murphy’s ten years as chief executive.

History says not to trust that verdict too quickly. In 2017 the market cheered the Cavium deal. From the first press report to the announcement day, Marvell beat the SOX by 14.9 points. One year later it trailed the index by 15.1 points. In 2020 the market disliked the Inphi deal. Over the report and announcement days, Marvell lagged by 7.1 points. One year later it led by 18.7 points. Both times, the first reaction and the one-year result pointed in opposite directions.

Our judgment: Marvell’s acquisition skill is real, but it was proven in a narrow zone, and Lumentum sits outside that zone. Marvell knows how to buy fabless technology, take out cost, sell non-core units at high multiples and keep its investment-grade rating. That skill turned Avera and Inphi into the seeds of a data center business that grew from $1.04 billion to $6.10 billion in five fiscal years. Lumentum is a different kind of target. It runs its own laser wafer fabs. It is a customer of Marvell’s optical signal processors. And Marvell would buy it at what may be the peak of a laser shortage. The track record lowers the integration risk. It does not lower the price risk. In our view, the variable that dominates is whether lasers stay scarce after 2028.

This article is dated October 30, 2026, Korea time. The deal is reported, not announced. As of this morning, neither company has filed an 8-K about it on SEC EDGAR, and neither has confirmed the talks. Prices are Nasdaq closes for October 29. Every Lumentum deal number below is our scenario. Our first take on the reported talks covers the laser logic and the dilution math.

What to take away

Thursday was the largest negative first reaction in Marvell’s deal history. Against the SOX, Marvell lost about $25 billion of value that the index does not explain, though part of it may be Alphabet’s results. Lumentum gained only about $2 billion. In an all-stock deal with a fixed exchange ratio, every dollar Marvell loses also comes out of the price Lumentum holders would receive.

Two deals built Marvell’s AI business. Marvell’s latest annual report names custom products and electro-optics as its growth drivers. Custom silicon started with Avera, the ASIC unit Marvell bought from GlobalFoundries. Electro-optics started with Inphi.

Marvell’s own precedents rule out a large cash share. If Marvell paid for Lumentum with the cash share it used for Cavium (47.5%), gross debt would reach about 11.8 times combined trailing EBITDA. Its new credit facility allows 4.5 times after a large deal, on our reading of the limit.

The share overhang would dwarf Inphi’s. The stock part of the Inphi price was worth about $5.9 billion. If an all-stock exchange ratio were set on Marvell’s October 28 price, the new shares would be worth about $100 billion at Thursday’s close. After the Inphi announcement, Marvell trailed the SOX by 8.2 points within five trading days and took about three months to get back to even.

The price is the unproven part. At a 20% premium, Marvell would pay about 23 times Lumentum’s guided quarterly revenue run rate. It paid about 14 times for Inphi, and Inphi worked. The question is whether 1.7 times Inphi’s multiple can work too.

The playbook, deal by deal

Since Murphy took over in July 2016, Marvell has bought companies at a steady pace. It used cash and stock in different mixes, and it sold businesses it did not need to pay for what it did.

Price is the value announced with each deal; for XConn it is the consideration at closing. Accounting purchase prices in the 10-K reports differ slightly. Cash share is the cash part of the per-share price at Marvell’s closing price before the news. Sources: Marvell’s 8-K filings, proxy statements and 10-K reports on SEC EDGAR. The Cavium and Inphi clearances are from Marvell’s own announcements of China’s State Administration for Market Regulation (SAMR) approval.

The order of the deals tells the strategy. Marvell filled the empty boxes of a data center connectivity stack one at a time: processors and security, custom ASICs, electro-optical signal processors, switches, memory-expansion switches and finally photonic interconnect. The laser is the last empty box in the optical stack. On strategy, Lumentum fits the pattern exactly.

What the playbook produced

A growth engine. Marvell’s data center revenue was $1.04 billion in fiscal 2021, 35% of sales. In fiscal 2026 it was $6.10 billion, 74% of sales. Marvell does not report revenue by acquired business, so the credit cannot be split exactly. But the two lines its 10-K names as growth drivers, custom silicon and electro-optics, both began as acquisitions.

Cost discipline. The Cavium deal came with a target of $150–175 million of annual cost savings. By the March 2019 earnings call, management was talking about $200 million. For Inphi, Marvell set a $125 million run-rate target within 18 months of closing. We could not find a primary-source report of either target’s final delivery.

Expensive exits. Marvell sold its Wi-Fi and Bluetooth business to NXP in 2019 for $1.76 billion in cash and used the money to repay the Avera bridge loan. In 2025 it sold its automotive Ethernet business, which included Aquantia, to Infineon for $2.5 billion in cash, about 10 to 11 times that unit’s revenue by our estimate.

A protected balance sheet. Marvell kept its investment-grade rating through both large deals. Its debt was about $4.6 billion at the end of fiscal 2022 and is $5.0 billion today, while revenue roughly doubled. Its 10-K reports have recorded no goodwill impairment from fiscal 2019 through fiscal 2026. The clear write-down was smaller: in fiscal 2021 Marvell cut back its server processor line, a Cavium legacy by our reading, and booked $119 million of charges.

Where the playbook ends

We split “M&A know-how” into the variables a deal actually tests. Here is how the record maps onto Lumentum.

Variable

Marvell’s record

Verdict

What Lumentum tests

Picking the growth axis

Avera and Inphi seeded a 5.9-times larger data center business

Proven

Same logic: the laser is the optical bottleneck

Cost take-out

Cavium target raised to $200m; Inphi run-rate plan published

Partly proven; final delivery not confirmed

Small relative to the price

Funding and rating

Investment grade kept through two large deals; asset sales repaid debt

Proven

Untested if the deal is all stock

China clearance

SAMR approved in 145–221 days in 2018–2021

Proven, in an older climate

42% of Marvell’s latest-quarter shipments went to China

Running fabs

Marvell has stayed fabless

No record

Lumentum runs indium phosphide (InP) laser fabs and module plants

Customer conflict

No precedent

No record

Lumentum buys Marvell DSPs; module makers that buy Lumentum lasers also buy Marvell DSPs

Price

Inphi: about 14 times run-rate revenue and a 43% premium, and it worked

One expensive success

About 23 times, 1.7 times the Inphi multiple, at our 20% premium

Relative size

Cavium was about 61% of Marvell’s market value

Proven

About 51%, inside the precedent

The size is not the problem. Marvell has already absorbed a target that was larger relative to itself. The problem is that the variables most likely to decide this deal are ones Marvell has never had to manage: what it pays against the length of the laser shortage, how it runs a fab, and how it keeps customers who now compete with its own subsidiary. A Stifel note cited in trade coverage puts Marvell’s share of PAM4 optical DSPs at 60–65%. If even part of that customer base sees Marvell as a rival supplier, the dis-synergy could rival the synergy. TradingView / Seeking Alpha, Oct 29

The funding math: Marvell’s own precedents rule out a large cash share

Our reading of the record is that Marvell has used the cheapest currency available. In 2018 and 2021, debt was cheap: its Cavium-era notes paid about 4–5%, and its Inphi-era notes paid about 1.7–3%. So it mixed in 41–48% cash. Today the arithmetic is reversed. Marvell’s stock trades at a high multiple of expected earnings, so its earnings yield is below the after-tax cost of new debt. On that test, stock is now the cheaper currency. A mostly-stock deal would follow the same rule Marvell has always used, with a different currency.

The credit agreement settles the rest. On October 22, Marvell signed a new $3 billion revolving credit facility. Its leverage limit is 4.0 times EBITDA and rises to 4.5 times for the quarter in which Marvell closes an acquisition of at least $500 million and the following three quarters. Marvell 8-K, Oct 23

On our assumptions, any precedent mix with real cash would exceed the 4.5-times limit. We have not matched the credit agreement’s exact EBITDA definition, so treat the bars as estimates. The usable cash in the chart combines Marvell’s $3.9 billion and Lumentum’s balance, less operating minimums. A deal with 15% cash stays under the limit but sits above the roughly 3 times that investment-grade issuers usually keep. That leaves two realistic structures: all stock, or about 90% stock with a small fixed cash amount per share. The cash version gives Lumentum holders a more certain value, which helps in a premium negotiation. The all-stock version leaves Marvell’s balance sheet untouched and puts the full weight of the deal on its share price.

The all-stock trap

An all-stock deal has a cost that does not show up in leverage ratios.

The signal. On October 6, Marvell’s management told investors it expects non-GAAP earnings per share above $30 in fiscal 2031. At Marvell’s price before the report, that target valued the stock at about 8.4 times fiscal 2031 earnings.

A management team that believes its own target sees its shares as cheap, and a cheap currency is a strange thing to spend. When a buyer pays in stock anyway, investors start to doubt either the long-term target or the price of the target company. Thursday’s drop is consistent with that reading. It is also consistent with other explanations, such as customer conflict and lower margins from owning fabs, and we cannot separate them.

The overhang. In a fixed-ratio stock deal, merger-arbitrage funds buy the target and short the buyer until the deal closes. With Inphi, the stock part of the price was about $5.9 billion, and Marvell still lagged the SOX for about three months. Here the stock part could be close to $100 billion.

Marvell’s past large deals took 173 to 228 days to close, with SAMR as the last gate. Lumentum’s own deals for Oclaro and NeoPhotonics each took about nine months. In today’s US–China climate, we assume nine to twelve months. A November announcement would close in the second half of 2027.

Nvidia in the middle. Nvidia bought $2 billion of convertible preferred stock in Marvell on March 31 and $2 billion in Lumentum on March 2. In an all-stock deal, its Lumentum preferred would likely be exchanged for Marvell shares, depending on the preferred terms and the merger agreement. Whether Nvidia supports the deal is unknown, and its view matters as both an investor and a customer.

Lumentum holders share the fall. Lumentum rose only 0.6% on Thursday. Once a fixed exchange ratio is signed, a lower Marvell price means a lower price for Lumentum. Before signing, Lumentum’s board can still push for more cash or price protection. Thursday showed how much value a fixed ratio can lose in one day.

What would change our view

The following announcement terms would tell us that this deal looks more like Inphi than like Cavium. If they arrive together, we would treat the first-day drop as an overreaction. They are signals of intent, not proof of execution.

A public commitment to run Lumentum as a neutral laser supplier, with information walls and continued supply to outside module makers.

A plan for Cloud Light, Lumentum’s module business, such as a separation or sale.

A premium of 20% or less.

A synergy target of at least $1 billion a year, with a date. A 20% premium is worth about $19 billion. Valued at 25 times after-tax earnings, it takes about $0.9 billion of annual pre-tax synergy to earn that back, by our estimate.

The opposite signal would be a plan to integrate modules and sell complete optical engines in direct competition with module makers. In that case, customer conflict would cancel the strategic gain from owning the laser.

Date

What to check

The Bet Is That Lasers Stay Scarce." />
On October 28, Bloomberg reported that Marvell Technology is in advanced talks to acquire Lumentum, the data-center laser and optics maker. A deal could be announced as soon as next week. As of this writing, neither company has confirmed the talks, and no price, premium or payment mix has been reported. Investing.com, Oct 28

The market answered in one evening. At 7:20 p.m. ET, Marvell traded at $232.39, 7.7% below its $251.65 close. Lumentum traded at $1,008, 10.3% above its $913.95 close. Marvell lost about $17 billion of market value. Lumentum gained about $8 billion on its basic share count, or about $9.5 billion on a diluted count. The combined value of the two companies fell by about $7–8 billion on the news.

Our judgment: the strategic logic is better than the reaction suggests, and the price will likely be worse than Marvell holders hope. Marvell wants the one part of an optical link that survives every architecture change: the laser. Co-packaged optics (CPO) can remove Marvell’s own signal-processing chips. It cannot remove the light source. But at similar earnings multiples, a stock-funded deal is a transfer of value to Lumentum holders unless the premium stays small. The variable that decides whether the transfer pays back is whether laser supply stays scarce after 2028, when today’s capacity additions arrive.

This article is dated October 29, 2026. It covers a reported deal, not an announced one. Prices are Nasdaq closes and after-hours trades on October 28, US time. All deal terms below are our scenarios.

<img alt="Marvell, Lumentum and the Philadelphia semiconductor index, rebased to 100 on December 31, 2025. Marvell nearly tripled and Lumentum rose about 2.5 times by October 28.

Five things to take away

Marvell would be buying a company almost as profitable as itself, at almost the same multiple. Both reported a 36.6% non-GAAP operating margin in their latest quarter. On guided-quarter earnings, Marvell trades at about 57 times and Lumentum at about 54 times. The common view that Marvell would dilute a high-margin chip business with a low-margin component business is wrong at the operating line.

The real asset is laser capacity. According to a summary of Lumentum’s August call, management described its pump lasers as effectively sold out. Its ultra-high-power lasers for CPO reach high volume in the second half of 2027. Nvidia paid $2 billion in March partly for capacity access rights.

On our arithmetic, the price would have to be paid mostly in Marvell shares. Marvell has $3.9 billion of cash and a new $3 billion revolver. Even at its 4.5x acquisition leverage limit, new debt could cover only about a fifth to a quarter of a $110–120 billion price.

Marvell’s after-hours loss already equals a 20% premium with no synergy credit. Its $17 billion loss is about what a 20% premium on Lumentum’s diluted value would transfer to Lumentum holders.

The deal is long-dated. China’s market regulator (SAMR) has cleared Marvell’s and Lumentum’s past deals, but each review took five to nine months. Lumentum shipped 79% of last year’s revenue to customers outside the US.

What was reported, and what was not

Bloomberg’s report says the talks are advanced and private, and that terms and timing could change. Reuters added that neither company immediately responded to requests for comment. Bernstein analysts said a deal of this size probably could not be funded entirely in cash. Reuters via Boursorama, Oct 29

One filing makes the report more credible. On October 22, six days before the leak, Marvell replaced its $1.5 billion revolving credit facility with a $3 billion facility, expandable by $2 billion. The new agreement lets Marvell’s leverage limit rise from 4.0 to 4.5 times for the quarter in which it completes an acquisition of at least $500 million and the following three quarters. Marvell 8-K, Oct 23 That is a liquidity tool, not deal funding. But it is the kind of housekeeping a company does before a large transaction.

What we do not know matters more than what we know. We do not know the price, the share of cash, whether Nvidia supports the deal, or what Lumentum’s board wants. Every number below is a scenario built from public results.

Marvell: from connectivity chips to custom silicon

Marvell reported record revenue of $2.739 billion for its fiscal second quarter, which ended August 1, 2026. That was 37% more than a year earlier. Data-center revenue was $2.17 billion, 79% of the total, and grew 46%. Non-GAAP gross margin was 58.9%, non-GAAP operating margin 36.6%, and non-GAAP earnings per share $0.94. For the third quarter, Marvell guided revenue of $3.15 billion, plus or minus 5%, and non-GAAP EPS of $1.10. <a class="link" href="https://www.sec.gov/Archives/edgar/data/1835632/000183563226000022/q227_8kx812026ex-991.htm" target="_blank" rel="noopener"

Connectivity. This is the Inphi heritage: optical DSPs for 800G and 1.6T modules, active electrical cable chips, retimers and switches. On the August call, management said 1.6T DSPs are ramping and that scale-out switching should more than double this fiscal year. <a class="link" href="https://www.marketbeat.com/instant-alerts/transcript-marvell-technology-q2-earnings-call-highlights-2026-08-27/" target="_blank" rel="noopener"

The Google warrant is worth reading closely. Its 240 performance tranches vest at one per $500 million of custom revenue through fiscal 2033. Full vesting would therefore require $120 billion of Google custom revenue. That is a ceiling, not a forecast. It still shows how large both companies think the opportunity could become.

At its October 6 Investor Day, Marvell raised its fiscal 2028 revenue target to about $20 billion and set a fiscal 2031 target of $70–90 billion, with EPS above $30. Press reports put interconnect at about $37.5 billion of the 2031 midpoint. Investing.com, Oct 6 The stock closed at $287.01 that day and has fallen since.

The balance sheet is modest for a company worth $220 billion. On August 1, Marvell held $3.93 billion of cash and $4.96 billion of debt. Operating cash flow was $606 million in the quarter. Diluted shares were 921 million before any Google warrant shares vest.

Lumentum: the laser maker that AI made scarce

Lumentum reported revenue of $1.006 billion for its fiscal fourth quarter, which ended June 27, 2026. That was 109% more than a year earlier and 24.5% more than the previous quarter. Components, mostly lasers, were $649 million. Systems, mostly transceivers and optical circuit switches, were $357 million. Non-GAAP gross margin was 50.4%, non-GAAP operating margin 36.6%, and non-GAAP EPS $3.23. Revenue for the full fiscal year was $3.01 billion, up 83%. Lumentum Q4 FY26 release

For the September quarter, Lumentum guided revenue of $1.225–1.275 billion, a non-GAAP operating margin of 39.5–40.5%, and non-GAAP EPS of $4.05–4.35. It reports on November 5. Lumentum, reporting date

The headline GAAP number looks alarming and is not. Lumentum reported a GAAP net loss of $7.2 billion in the quarter. A non-cash $7.8 billion loss on debt extinguishment more than explains it, because holders converted notes into shares at prices far below the current stock price. The cost is real, but it is paid in shares, not cash. Common shares rose from 71.4 million in January to 89.7 million in August. Non-GAAP weighted diluted shares were 101.1 million in the June quarter.

These Lumentum products matter most for AI data centers.

Electro-absorption modulated lasers (EMLs). These are the light sources inside most 800G and 1.6T pluggable modules. Lumentum reported record EML revenue. 200G-per-lane EMLs were more than a quarter of EML revenue.

Continuous-wave and ultra-high-power (UHP) lasers. These supply light to silicon-photonics engines and to CPO. Lumentum expects high-volume UHP shipments in the second half of 2027. It has a first order for an external light source module, also for delivery in the second half of 2027.

Optical circuit switches (OCS). These switch light without converting it to electricity. Shipments doubled from the previous quarter, and Lumentum guided its first quarter of more than $100 million of OCS revenue.

Transceivers. Through Cloud Light, acquired in 2023, Lumentum builds modules itself. It began production shipments of 1.6T modules.

On the same call, according to MarketBeat’s summary, management said pump lasers were effectively sold out. That phrase explains the deal better than any synergy slide.

Nvidia had already reached the same conclusion. On March 2, Nvidia announced a $2 billion investment in Lumentum, a multi-billion-dollar purchase commitment and future capacity access rights for advanced laser components. The money supports a new US fab. Nvidia–Lumentum release, Mar 2 On the same day, Nvidia announced a similar $2 billion agreement with Coherent, Lumentum’s closest merchant rival. DatacenterDynamics, Mar 2 Nvidia, whose switches and CPO platforms need these lasers, secured two laser suppliers in one day. It did not bet on one.

Lumentum’s customer list is concentrated. Its two largest customers were 26.6% and 15.0% of fiscal 2026 revenue; the company does not name them. Shipments to customers outside the United States were 79.2% of revenue. <a class="link" href="https://www.sec.gov/Archives/edgar/data/1633978/000162828026057358/lite-20260627.htm" target="_blank" rel="noopener"

The operating-margin and capex lines carry the argument. The operating margins are the same. The capital intensity is not. Marvell designs chips and pays foundries to make them. Lumentum runs its own indium phosphide fabs and is building another one. A combined company would earn about the same operating margin, but it would need about 1.7 times Marvell’s current capex per dollar of revenue: 7.2% instead of 4.3%.

Why Marvell wants lasers: CPO removes the DSP, not the light

An optical link consists of a DSP that cleans up the signal, a laser that makes the light, a photonics engine that puts data on the light, and a module that packages everything. Marvell is strong in the first layer and has been building the third through Celestial AI. It has no laser.

Each step toward tighter integration attacks the layer where Marvell is strongest.

Linear-drive optics remove or simplify the DSP to save power.

Co-packaged optics move the optics next to the switch chip. The DSP disappears from that link, and the module maker loses the assembly work.

In both cases, the laser stays. In CPO it moves outside the package as an external light source, because lasers run hot and fail more often than silicon.

This is a hedge Marvell’s shareholders should understand. Marvell’s fiscal 2031 plan relies heavily on interconnect. Some of that interconnect revenue is exposed to the same CPO transition that Nvidia and Broadcom are promoting. Owning Lumentum would give Marvell a stake in every version of the link, including the one that removes its DSP. We wrote in June that EML and CW lasers had become the bottleneck of AI optics. KII, Jun 3

There is also a competitive reason. TrendForce lists Broadcom among the leading suppliers of CW and EML lasers. TrendForce, Jun 3 Broadcom also sells CPO switches. Broadcom, Oct 8 Broadcom can offer a hyperscaler a full optical path. Marvell cannot today. With Lumentum, Marvell could offer custom accelerators, scale-up optics from Celestial AI, lasers and OCS from one supplier.

Synergy: what is real and what is a slide

We separate the kinds of synergy, because the deal will likely be marketed with all of them.

Real: supply assurance in a shortage. Today a hyperscaler that buys a Marvell DSP still has to find lasers. If lasers are the constraint, a supplier that can commit DSP, laser and photonics capacity together has a selling advantage. This synergy is largest exactly while lasers are scarce.

Plausible: co-design for scale-up optics. Celestial AI’s Photonic Fabric needs external light. Lumentum’s UHP lasers and external light source modules are designed for that job. Designing them together could shorten qualification time. The volumes start in the second half of 2027 at the earliest.

Weak: cost synergies. The two companies use different fabs, different processes and largely different engineers. Overlap is limited to corporate costs, sales and some photonics research. We do not expect cost synergies to be large relative to a $110 billion price.

Then come the dis-synergies, which the market priced on Wednesday evening.

Channel conflict. Marvell sells DSPs to module makers. Lumentum’s Cloud Light competes with those module makers. After a deal, Marvell would compete with some of its own DSP customers.

Customer dual-sourcing. Large buyers dislike depending on a supplier that also sells against them. Nvidia already holds capacity rights at both Lumentum and Coherent. In a shortage, customers cannot easily leave. When capacity loosens, they can.

Capital intensity. Fabless Marvell would own fabs. Lumentum’s fiscal fourth-quarter capex alone was $167 million.

Gross margin optics. On the latest quarters, the combined non-GAAP gross margin would be about 56.6% instead of 58.9%. Operating margin would barely change. Some investors screen on gross margin, so the stock may be valued lower even though the business is not.

Financing: on the arithmetic, this is a stock deal

Lumentum’s diluted equity value at its October 28 close was about $92 billion, on the June quarter’s weighted diluted share count. A 20–30% premium implies a purchase price of roughly $111–120 billion, before Lumentum’s remaining convertible notes.

Marvell’s capacity to borrow is limited by its own covenant. The 8-K does not define the leverage ratio, so the arithmetic below is illustrative. On guided quarters, Marvell earns about $1.17 billion of non-GAAP operating income a quarter. Lumentum’s guidance implies about $0.5 billion. Together that is roughly $6.7 billion a year of operating income; earnings before depreciation are somewhat higher. If leverage is measured on earnings of that size, the 4.5x acquisition-quarter limit allows total debt of about $30–35 billion. The two companies already carry about $6.6 billion. That leaves roughly $23–28 billion of new debt at the covenant ceiling, and less if Marvell wants to keep its credit rating comfortable.

Our assumption, consistent with Bernstein’s view: at least 75–80% of the price would be paid in Marvell shares, unless a partner such as Nvidia contributes capital. That makes the exchange ratio, not the headline price, the number to watch next week.

Because the two companies trade at similar multiples, a stock deal at no premium would be roughly neutral to Marvell’s earnings per share. The premium is what dilutes. At a 20% premium, Marvell’s run-rate non-GAAP EPS would fall about 4%; at 30%, about 6.5%.

Growth can close the gap. Lumentum guided 24% sequential revenue growth for the September quarter; Marvell guided 15%. If Lumentum keeps growing faster, the dilution shrinks each quarter. This is the honest bull case on the arithmetic. It only works if laser prices and volumes stay strong for several years.

What Marvell gains and what it gives up

Marvell gains

Marvell gives up

Laser capacity during a shortage, including EML, CW and UHP lines

About 30% of the company to Lumentum holders in a stock deal

A position that survives the move from pluggable modules to CPO

Its fabless, low-capex model; it takes on Lumentum’s fabs and new US fab plans

A full optical stack to match Broadcom’s lasers, DSPs and CPO switches

Neutrality toward module makers that buy its DSPs

OCS and external light sources for scale-up networks with Celestial AI

Freedom from China review risk on a large share of Lumentum’s revenue

Faster near-term growth: Lumentum guided +24% QoQ

Management focus while it ramps its custom programs, including Google’s

Regulators: SAMR is the clock

Marvell and Lumentum both have experience with China’s State Administration for Market Regulation. SAMR cleared Marvell’s purchase of Cavium in June 2018, about seven months after it was announced. Marvell, Jun 28, 2018 It cleared Marvell’s purchase of Inphi in March 2021, about five months after announcement. MLex, Mar 24, 2021 It cleared Lumentum’s purchase of Oclaro in December 2018, about nine months after announcement. Lumentum 8-K, Dec 6, 2018

This deal is larger and more strategic. Much of the world’s optical-module assembly takes place in China, so Chinese module makers buy large volumes of optical DSPs and EMLs. A regulator that wants to protect them can ask for supply commitments or simply take time. We assume a review of at least nine to twelve months. During that period, Lumentum will trade at a discount to the offer price, and Marvell will carry the uncertainty.

Stock impact: Marvell’s evening loss already matches a 20% premium

Lumentum’s diluted value at the close was about $92 billion. A 20% premium on that value is about $18.5 billion. Marvell lost about $17 billion of market value after hours. Marvell’s holders, in other words, treated a premium of roughly 18–20% as a straight transfer and gave the strategic logic no credit yet. Lumentum’s own 10% rise points to a smaller premium, or to a real chance that the talks fail.

That makes the announcement terms the first test. The table below assumes an all-stock deal and no synergy credit. It shows the mechanical effect on Marvell’s market value relative to the after-hours price.

Announced premium

Value transferred to Lumentum holders

Already priced after hours

Further move for Marvell, no synergy credit

10%

about $9bn

about $17bn

about +4%, a partial recovery

20%

about $18bn

about $17bn

about −1%

30%

about $28bn

about $17bn

about −5%

40%

about $37bn

about $17bn

about −10%

These are mechanical estimates, not forecasts. Marvell would trade above them on credible supply commitments from Nvidia or a hyperscaler to the combined company, a visible synergy plan for CPO lasers, or a share-heavy structure without large new debt. It would trade below them on a large cash component funded by debt, or on SAMR conditions that limit how the combined company sells.

If the talks fail, the arithmetic reverses. Marvell would likely recover most of the after-hours loss, and Lumentum would give up its gain.

For Lumentum holders, the stock will start trading on the deal spread once terms are public. With a long review, we would expect a spread wider than for a routine semiconductor deal.

Our judgment, and what would change it

The deal makes industrial sense. It is the most direct way for Marvell to stay relevant as optics move into the package. Laser supply is the variable that dominates, and it ranks ahead of the premium and the regulator. If lasers remain the bottleneck through 2028 and beyond, Marvell will have bought the scarcest asset in AI networking, and the premium will look small. If Coherent, Broadcom, Lumentum’s new fab and Asian suppliers add enough indium phosphide capacity by 2028, Marvell will have paid about 55 times earnings for a cyclical component maker. It will also own its fabs.

Evidence

What it would mean

Announced premium of 20% or less, mostly stock

The evening move already priced the cost; Marvell can recover part of it

Nvidia or a hyperscaler signs long-term supply agreements with the combined company

Customers accept a vertically integrated Marvell; dis-synergy risk falls

Lumentum’s November 5 report shows laser lead times and prices still rising

Scarcity is lasting; the strategic value is growing

Premium of 30% or more, or debt above $15bn

Dilution exceeds what growth can close within a year

Coherent or Broadcom announce large new InP laser capacity for 2027–28

Scarcity premium fades; Marvell would be buying near a cyclical peak

SAMR review extends beyond twelve months or adds supply conditions

Value is delayed, and the combined company loses pricing freedom in China

The next check is November 5, when Lumentum reports and may comment on the talks. Marvell reports its fiscal third quarter in late November or early December. If a deal is announced first, the exchange ratio will settle most of the near-term debate.
