Its 98% Renewal Rate Cannot See the Seat Freeze." />
ServiceNow (NOW) closed at $109.67 on October 29, down 26.95%. CNBC called it the stock’s worst day ever. The company beat every line of its third-quarter guidance and raised its year-end AI annual contract value (ACV) target from $1 billion at the start of the year to $1.7 billion or more. In the same release it guided fourth-quarter cRPO growth to 18.5% in constant currency. cRPO is contracted revenue that will be recognized over the next 12 months, and it grew 21% in the third quarter. ServiceNow Q3 2026 release (8-K), CNBC

The market read it fast: AI is eating software. We think that reading has the direction right and the path wrong. Customers did not leave. The numbers point to customers that stopped buying more seats.

Our view: the threat this quarter revealed is an expansion freeze. Customers are not adding people, so they are not adding seats. Churn is not visible yet. ServiceNow’s 98% renewal rate cannot see this change, by definition. For the next one to two years the seat freeze will drive results. After that, usage revenue will decide which companies win. So SaaS stocks should be sorted less by “seat pricing or usage pricing” and more by one question: can an AI agent route around this system?

Data are as of the US regular-session close on October 29, 2026. Company figures come from ServiceNow’s 8-K and 10-Q filings with the SEC. Management quotes come from the Q3 earnings call transcript.

The CFO explained the Q4 slowdown with one-off items. Early renewals pulled into Q3 cost about 0.5 points. A higher mix of on-premises public-sector deals costs 0.25 points. Backlog under termination-for-convenience (T4C) clauses, which revenue includes but cRPO excludes, costs about 0.5 points. She also called investment in deployment staff for large deals a small headwind. Q3 call transcript (Motley Fool)

Add back every item the CFO quantified and Q4 is still about 19.75%. That is below Q3’s 21%. The one-off story does not explain the whole slowdown.

The AI target rose 70%. Why did the total slow?

A $1.7 billion AI ACV is about 10% of roughly $17 billion, the Q4 subscription guidance annualized. If that 10% grows fast and total contracted growth still falls, the business outside AI is likely slowing. We lined up three explanations for that slowdown against this quarter’s evidence.

Explanation

Mechanism

Evidence this quarter

Verdict

Seat cuts at renewal

Customers renew with fewer human seats

A 98% renewal rate cannot rule this out. Per the 10-Q, the rate excludes changes in price or users and does not reflect lower purchases by customers who stay

Open. Filings cannot settle it

Seat expansion freeze plus AI repricing

Customers freeze headcount, so new seats stop; premium AI tiers raise the price of existing seats

AI ACV grows while total cRPO slows. Customers above $5m +23%. In 2024 the CFO said the AI tier, Pro Plus, carries a 60% list uplift over Pro

Best fit

Lag in consumption billing

Agent calls grow, but only usage above fixed credits is billed

Agentic AI consumption up 13x; Action Fabric assists up 500% month over month. The 10-K says consumption pricing applies when usage exceeds the fixed number of service credits

Volume confirmed. Revenue not disclosed

The renewal-rate definition is in the 10-Q, the consumption terms in the 2025 10-K, and the Pro Plus pricing in Constellation Research’s report.

If the second explanation is right, time is not on ServiceNow’s side. Repricing is a one-time step that stops once customers finish upgrading. Seat compression compounds every year as AI gets better. A step happens once; a trend keeps going.

Read management’s own example with care. The CFO said internal AI now delivers more than $1 billion of annualized value, and that ServiceNow grew quota-carrying headcount at double digits while total headcount fell slightly. Yet the 10-Q attributes higher cost of revenue and sales expense “primarily” to increased headcount. Staff from this year’s acquisitions may be mixed in. ServiceNow’s internal seat-compression story is still a management claim.

How the seat threat unfolds

Stage

What happens

What shows up

ServiceNow now

Expansion freeze

Customer headcount stops growing, so fewer new seats

Net new ACV and cRPO slow; renewal rate holds

Here

Renewal cuts

Customers cut seats at renewal

Invisible in the company’s renewal rate. Falling net revenue retention (NRR) at companies that disclose it; management talk of downsells

Not confirmed

Price pressure

AI-native rivals and self-cannibalization push seat prices down

Lower price per seat; more self-serve, consumption-priced products

Early signal: ServiceNow launched Flow, a conversational service desk that runs outside its main platform

Exposure differs by seat type. The most exposed seats belong to people who work through requests: IT help desk, customer support and HR case handling. Next come products billed per employee, such as HR and payroll. Developer seats could go either way.

On the call, ServiceNow said its Level 1 service desk agent resolves incidents 85% faster than human agents. The work that agent does is the work of ServiceNow’s own ITSM fulfiller seats. ServiceNow is selling a product that competes with its own seats.

CEO Bill McDermott said customers like seat pricing because it makes budgeting predictable. That predictability cuts both ways. When customers cut seats, ServiceNow’s revenue falls just as predictably.

What usage revenue must cover

We used a simple break-even formula: new revenue / old revenue = (1 − seat cut) × (1 + AI price uplift on remaining seats) + usage revenue (as a share of old revenue). We assume every remaining seat upgrades.

Seats cut

Usage revenue needed at a 30% uplift

Usage revenue needed at a 60% uplift

20%

None (revenue 1.04x)

None (1.28x)

35%

If the full 60% Pro Plus list uplift sticks, repricing alone holds revenue up to a 30% seat cut. If the uplift is only 30%, the limit is a 20% cut. At a 40% cut, usage revenue must reach 4% to 22% of today’s revenue; at 50%, 20% to 35%. ServiceNow’s AI ACV is about 10% of subscription revenue today, and that already includes repricing. If fewer than all customers upgrade, or if the goal is 20% growth instead of flat revenue, the usage revenue needed is larger than the table shows.

Our reading is that the market is now discounting the chance that seat cuts pass 40% within three to five years. This quarter offered no evidence that lowers that chance.

When an agent cannot route around the system

For SaaS to become the agent’s tool and replace lost seat revenue, three conditions must hold.

First, the agent must not be able to route around it. The work cannot finish without passing through this system’s authoritative records, write permissions and audit trail. ServiceNow’s CMDB and its change and approval records likely meet this test. A CMDB is the system of record for a company’s IT assets and how they connect.

Second, usage revenue must exceed the seat revenue it replaces. That is the table above. Consumption up 13x and Action Fabric assists up 500% a month are volume measures. The company did not disclose the revenue this volume produced. McDermott himself placed “the true acceleration” in 2027.

Third, the tool must keep pricing power against the front door. If ChatGPT, Gemini or Copilot becomes where work requests start, those front doors can squeeze the price of the tools behind them. This quarter ServiceNow widened its partnership with OpenAI and launched a ServiceNow plugin for ChatGPT. Users will run ServiceNow tasks from inside ChatGPT. ServiceNow is giving up the front door to defend the point of execution. That choice works only if it gets paid for every action.

ServiceNow is also going after the control layer above the front door. AI Control Tower discovers and governs the AI agents inside a company, and its net new ACV grew more than sixfold. The company did not disclose the amount. If that control layer bills per agent, whichever front door the agent uses, it becomes the strongest path to replacing seat revenue.

A grid for sorting SaaS stocks

An agent can route around it

An agent cannot route around it

Priced per human seat

Most at risk: screen-centric collaboration tools, simple workflow tools, support-seat tools

A one-to-two-year growth gap: systems of record such as ServiceNow, Salesforce, Workday and SAP. The question is whether they can re-price on usage

Priced on usage or data volume

Price compression risk: generic APIs and easily swapped tools

Structural winners: hyperscalers, data, observability, networking and agent identity security. They rose sharply this year, so the price already carries expectations

On October 25 we wrote that the unit of pricing is moving from seats to usage. KII, October 25 We keep that view. ServiceNow adds one condition. The profit from usage pricing flows to execution points an agent cannot skip and to the front-door owners. Usage pricing that an agent can route around faces price compression.

ServiceNow is moving from the top-right cell to the bottom-right cell of that grid. This quarter showed the gap that opens in the middle of the move.

On October 29 the market still sold with a blunt knife

Seat-priced apps fell 3.8% to 7.3%. They face the same test. Usage-priced infrastructure also fell 2.6% to 4.5%. Datadog was up 95% this year and Cloudflare 57%. A favorable structure does not protect a price like that from a guidance slowdown.

Microsoft and Palantir barely moved. Accenture and IBM rose, which fits the view that putting AI into enterprise work still needs human services. In the same week F5 fell 20.4% on October 28 and Fortinet fell 20.1% on October 29, each after its own results. The IGV software ETF fell 3.5% and is up 2.2% this year. ServiceNow is down 28.4% this year, more than 30 points behind IGV.

The market has not yet sorted stocks by whether an agent can route around them. It sold them together on a shared risk: slowing leading indicators. We expect that sorting to show up in prices from the next earnings season.

What would change our view

Our emphasis is on the seat freeze. For seat-priced apps that an agent can route around, a lower multiple is structural. For systems of record that an agent cannot route around, the risk is a one-to-two-year growth gap; churn risk is small. These are analytical statements, not trading instructions.

Signs that usage revenue will cover seats

ServiceNow discloses total net new ACV alongside the AI share, and the total accelerates.

It discloses revenue from usage above fixed credits, or the growth of credit commitments at renewal.

Evidence emerges that Control Tower bills by the number of third-party agents or actions.

Signs that the seat freeze is turning into renewal cuts

Seat-linked companies such as Workday or Salesforce mention seat cuts at renewal, or their NRR falls.

ServiceNow’s Q4 cRPO comes in below 18.5%, or its 2027 subscription revenue guidance is below 17%.

If Q4 cRPO is 19.5% or higher and 2027 subscription guidance is 19% or higher, we will lower the weight we put on the seat-freeze reading. ServiceNow reports Q4 at the end of January.

A question for readers

Six Straight Quarters of an 11-17 Point Growth Gap Is Not Luck" />
The three largest ad sellers reported third-quarter results in late October. Meta’s ad revenue grew 26% to $63.1 billion. In the same quarter Google’s ad revenue grew 10.6% to $82.0 billion, and Amazon’s grew 10.9% to $19.6 billion. Together the three sold $164.7 billion of ads, 16.0% more than a year earlier, and Meta took 57% of that increase. Amazon release

The market read Google’s miss as an AI search story and explained Amazon’s miss with the Prime Day calendar. Each explanation holds inside its own company. Put the three companies in one table, and a larger pattern appears.

Our judgment: Meta is taking Google’s performance ad budget, and the shift has run for six quarters. It is structural. The cause lies more in the strength of Meta’s ad machine than in Google’s weakness. The evidence is that advertisers now pay 14% more per Meta ad than a year ago. The contest with Amazon is still open, and Q4 results are the first real test.

This article is dated October 30, 2026. Figures come from each company’s SEC earnings releases and quarterly reports (10-Q). Share means share of the three companies’ combined ad revenue. It is not share of the whole digital ad market.

The budget shift in numbers

Six straight quarters: since Q2 2025, Meta’s ad revenue has grown 11 to 17 percentage points faster than Google’s every quarter. A one-quarter calendar quirk or currency swing cannot explain a run this long.

Share: Meta’s share of the three companies’ ad revenue was 33.2% in 2024, 35.1% in 2025 and 37.6% in 2026. The annual gain widened from 1.9 to 2.5 points.

Acceleration: on a two-year compound basis, which removes last year’s base, Meta sped up from 24.4% in Q2 to 25.7% in Q3. Google slowed from 12.4% to 11.6%.

Amazon: on the same basis Amazon’s share was 12.1% in both 2025 and 2026. Meta has not yet taken share from Amazon.

<img alt="Share of the three companies’ combined ad revenue, Q2 and Q3 combined, 2024 to 2026. Meta rose from 33.2% to 35.1% and 37.6%. Google fell from 55.3% to 52.8% and 50.3%.

We combine Q2 and Q3 because of Prime Day. Amazon held Prime Day in July in 2024 and 2025, and in June in 2026. With the two quarters combined, the event falls in the same window every year.

<img alt="Meta’s year-over-year ad revenue growth minus Google’s and Amazon’s, Q2 2025 to Q3 2026. The gap with Google was 11.1, 12.9, 10.7, 17.4, 13.1 and 15.4 points. The gap with Amazon was -1.4, 2.0, 1.0, 9.1, 1.3 and 15.0 points.

The Q1 2026 gap includes a currency tailwind of about 4 points for Meta. Without it, the gap with Google still exceeds 10 points in every quarter. The 15.0-point gap with Amazon in Q3 2026 is mostly Prime Day timing.

Why Meta is stronger: advertisers pay for results

In Q3, Meta’s ad impressions grew 10% and its average price per ad rose 14%. For prices to rise while supply also grows, advertiser demand must grow faster than supply. CFO Susan Li attributed the price increase to ad performance gains and to better macro conditions than a year earlier. In the same quarter, Google Search’s cost per click rose 4%. Alphabet 10-Q

Meta can raise prices because what advertisers buy from it is closer to a conversion than to an impression. On the Q3 call, Meta put numbers on the effect of its ad ranking models:

GEM expansion: conversions rose 1.7% for off-site conversion campaigns and 9.6% for app ads.

Andromeda improvements: conversions on Facebook rose 1.4%.

Partnership ads: grew more than 97% year over year and passed a $15 billion annual revenue run rate.

Advertisers split budgets by measured conversion results. Meta’s 10-Q names online commerce as the largest contributor to its ad revenue growth. Google said retail and finance led its Search revenue growth. The same advertisers compare the two companies on the same performance metrics, and we judge that the result shows up as the growth gap. None of the three companies said budgets are moving, so this link is our inference. Meta 10-Q

Meta accelerated in its largest market. By advertiser location, Meta’s US and Canada revenue grew 33.0% in Q3, up from 29.3% in Q2. The region is 41% of Meta’s total revenue. Meta said strong impression growth on lower-monetizing surfaces and regions partly offset the price gain. The regional mix pushed the average price down, and the average price still rose 14%. That supports the reading that the same advertisers are paying more.

Google’s searches grew faster than its paid clicks

CEO Sundar Pichai said Q3 search query growth was the highest in the last five years. Yet Search paid-click growth fell from 13% in Q2 to 8% in Q3. Search revenue grew 12.0%. Alphabet call transcript (Motley Fool)

Chief Business Officer Philipp Schindler gave several causes for the slowdown. Currency was the single largest. The EU began charging duties on small parcels on July 1, and some Asia-Pacific retail advertisers pulled back. Media spending that had bunched around the June World Cup normalized in Q3. He also said AI Mode queries grew strongly while AI Mode monetized at a lower rate.

Currency, the World Cup and the Asia-Pacific advertisers are temporary. Currency changes revenue but not the number of clicks. What remains is that each search query now produces fewer ad clicks. The effect is still small. But it comes from a structure in which Google must receive a query before it can sell an ad. The more users get answers straight from AI, the fewer ads there are to click.

Meta’s feed does not have this problem. Meta creates its own ad inventory, and it uses AI to rank the ads in that inventory. The same technology is cutting clicks at Google and lifting conversions at Meta. Still, we treat Google’s AI Mode gap as a secondary cause. The growth gap dates back to Q2 2025, long before this quarter, when Google first cited AI Mode’s lower monetization.

Meta has not beaten Amazon yet

Amazon’s ad growth fell from 26% in Q2 to 12% in Q3, both excluding currency. CEO Andy Jassy said moving Prime Day into Q2 in most countries had an 850-basis-point effect on ad growth. A change to Amazon’s search marketing program in Q3 2025 also moved into the base this quarter. Amazon call transcript (Investing.com)

Combining Q2 and Q3 removes the calendar effect and gives 18.6% growth excluding currency. Meta grew faster than Amazon, but it has not yet taken Amazon’s share. Amazon measures whether people who saw an ad actually bought, using its own store data. Nothing in these results shows that this advantage has weakened.

Q4 is the first test. Amazon guided Q4 ad growth to the high teens. Meta’s Q4 revenue guidance of $73-76 billion implies 21.9-26.9% growth. If both land on guidance, a 5-7 point gap appears for the first time in a quarter with no calendar distortion. If the gap is 2 points or less, we will conclude that Meta has no edge over Amazon.

Where Meta does not win

Meta’s edge is limited to the performance budgets of online commerce and app advertisers. Meta is not taking Google’s search queries.

Search intent: Google is still strongest for ads shown to people who search in order to buy.

TV: in Q3, living-room viewing accounted for more than a third of YouTube ad revenue. Meta has no such surface.

Purchase data: Amazon is strongest for ads measured all the way to a purchase in its own store.

What could break this judgment

Meta’s growth is now price-led. Impression growth fell from 19% in Q1 to 14% in Q2 and 10% in Q3. Daily active people grew 3% to 3.64 billion. Prices react first to advertiser returns and the economy, and Meta included better macro conditions among the reasons for its price gain. If the economy turns, price is where growth falls first.

Asia-Pacific advertisers are wobbling. By advertiser location, Asia-Pacific is 26.3% of Meta’s revenue. Its growth slowed from 25.0% in Q2 to 18.8% in Q3. We estimate these are the same advertisers Google linked to the EU small-parcel duty. Meta did not discuss this on its call.

Ad cash is flowing into AI capex. Meta’s Q3 capital expenditure was $34.9 billion, and its free cash flow was negative $2.1 billion. Its 2026 capex guidance is $135-145 billion. In late October Meta raised outside capital with $25 billion of common stock (through forward sales) and mandatory convertible preferred stock. The strength of the ad machine and the cash left for shareholders are separate questions. <a class="link" href="https://www.sec.gov/Archives/edgar/data/1326801/000119312526436410/d94886d424b5.htm" target="_blank" rel="noopener"

The three companies report Q4 in late January or early February 2027. The dates are not yet set.

Limits

Revenue basis: Google’s ad revenue includes traffic acquisition costs paid to partners ($16.4 billion in Q3). These costs grew 10.0%, close to ad revenue, so they change the growth gap little.

Scope: we did not compare TikTok, Microsoft, AppLovin, Reddit, Walmart or ChatGPT ads.

Inference: the budget shift toward Meta is our inference from public results. We did not see advertisers’ actual spending split by platform.

Call remarks: Meta remarks come from the company’s official transcript; Google and Amazon remarks come from third-party transcripts. Jassy’s 850 basis points is ambiguously worded, so we estimated Amazon’s underlying growth from combined Q2 and Q3.
