Anatomy of the $250 Billion Backstop

Context: The Cisco piece recorded the arrival of vendor financing as the first lit signature in the clock verdict, and the Black Tuesday piece confirmed that concern over this deal was named as one of the crash’s three causes. This piece dissects that signature itself. It splits the deal’s structure into confirmed fact and unverified reporting, builds out meaning, background, alternatives, and success-failure criteria through OpenAI’s and NVIDIA’s separate lenses, and then derives the market’s concerns and the conditions that would dispel them.

TL;DR

The reported structure is this. SB Energy, a SoftBank affiliate, is building a 10GW campus at Piketon, Ohio (a former uranium-enrichment site, federally owned) that OpenAI will lease, and NVIDIA is reportedly guaranteeing up to $250 billion of the lease payments and construction debt while separately negotiating $350 billion of chip-purchase financing. Total project cost exceeds $500 billion, the largest ever. It is a WSJ exclusive, Reuters could not independently verify it, and both companies plus the U.S. Commerce Department declined to comment. No contract has been signed.

This deal is not the first attempt but the second structure. Last September’s $100 billion milestone-investment letter of intent was never signed into contract and dissolved this February, replaced in the March round by $30 billion of direct equity plus purchase commitments. The move from equity to guarantee is an escalation in the intensity of support.

OpenAI’s lens. With annualized revenue of about $25 billion (a year-end forecast of $40 billion), an annual net loss of about $14 billion, no credit rating, and governance by a nonprofit foundation, the debt market will not lend against OpenAI’s own credit. Even SoftBank, trying to borrow against its OpenAI stake as collateral, was required by banks to post a corporate guarantee. Weighing every alternative, additional equity, an accelerated IPO, the Oracle approach, an SPV, GPU-backed debt, this route of borrowing AA-grade credit is the only one that works at this scale and speed.

NVIDIA’s lens. For its $500-billion-plus backlog and the 5GW purchase commitment it has already booked from OpenAI to materialize, OpenAI needs a data center. A guarantee sends no cash out the door, does not hit the income statement, and locks in demand, the option that looks cheapest on the financial statements. But $250 billion is 159% of equity, 2.6 times annual FCF, and 71 times the $3.5 billion cap on the existing guarantee program disclosed in the 10-K.

The market has already answered. On the day of the report, NVIDIA fell 4.99%, dropped below $200, and ceded the number one spot in market capitalization to Apple, while its CDS jumped 14bp in a single day to 82bp, a record one-day move. Burry said “around and around we go,” Chanos flagged the point where a vendor must guarantee “two-thirds of the cost of the chips it is selling,” and S&P, applying the same logic, downgraded Oracle to one notch above junk, naming OpenAI explicitly as a key credit risk.

The test is not whether the guarantee exists but whether it is ever drawn. Success means credit enhancement that is never drawn and simply expires; failure means a contingent liability worth 159% of equity becomes real. Lucent lost 99.3% of its stock price on a 24%-of-revenue exposure.

Key Framing

The essence of this deal fits in one sentence. The debt market answered no to OpenAI’s credit, and NVIDIA is trying to turn that no into a yes with its own balance sheet. For OpenAI it is the only bridge to funding the largest project ever without dilution; for NVIDIA it is both the insurance premium that guarantees its backlog gets realized and a contingent liability reaching 159% of equity. The definition of success is unglamorous: the guarantee is never drawn and quietly expires. And the variable that separates that success from failure is not the contract terms, but how many multiples OpenAI’s token revenue has grown to by the time the project goes live in 2028.

1. The Deal’s Structure: What Is Confirmed and What Is Not

Start by separating the layers of fact.

Parties’ position

NVIDIA, OpenAI, and the Commerce Department all declined to comment. No signed contract; possibility of collapse noted alongside

Confirmed

[Fact: synthesis of WSJ, Reuters, CNBC and other reports since 2026-07-26]

Prior history matters. This guarantee is not the first attempt. In September 2025, NVIDIA announced a letter of intent to invest up to $100 billion in stages tied to OpenAI’s 10GW deployment, but amid disagreement over control the contract was never signed, not a dollar was funded, and it dissolved this February. It was replaced instead in March’s $122 billion round (at an $852 billion post-money valuation), where NVIDIA took unconditional $30 billion of direct equity and OpenAI committed to hardware purchases of 3GW of inference and 2GW of training capacity. [Fact: press synthesis] In other words, the form of support has evolved from milestone investment to direct equity and now to debt guarantee. The direction of this evolution is that the nature of the risk NVIDIA bears grows heavier with each step.

2. OpenAI’s Lens: Without a Bridge, the Commitments Collapse

Meaning and background. Once you plot OpenAI’s financial coordinates precisely, the necessity of this deal becomes self-evident. Annualized revenue as of mid-2026 is about $25 billion (a year-end forecast of $40 billion), quarterly cash burn is $3.7 billion, 65% of revenue, and this year’s projected net loss is about $14 billion. There is no credit rating, the nonprofit OpenAI Foundation governs the board, and large losses are planned through 2028. [Fact: press and public materials] With this profile, the debt market will not lend. There is direct evidence. When SoftBank tried to borrow $10 billion against its OpenAI stake as collateral, banks demanded an additional corporate guarantee from SoftBank, citing concerns over OpenAI’s valuation. [Fact: Reuters] The banks’ verdict is that even equity in the world’s most expensive private company is not sufficient collateral on its own.

Meanwhile, on the spending side, a commitment stack of about $1.4 trillion has piled up, and behind Stargate’s $500 billion headline, actually committed equity is estimated at only about $52 billion (SoftBank $19 billion, OpenAI $19 billion, Oracle $7 billion, MGX $7 billion). [Fact: press, single-source estimate] Funding to date has been a patchwork of site-level SPVs (the Abilene construction loan of $7.1 billion, Crusoe’s $11.6 billion, the JPMorgan syndicate’s $38 billion), and the largest single unit this approach has produced is in the tens of billions. $500 billion for a single 10GW campus is a scale that approach cannot reach. For reference, the largest single project financing of the pre-AI era was Australia’s Ichthys LNG at about $20 billion. $500 billion is 25 times that. [Fact: project-finance records]

Comparing alternatives. Here is a look at the other paths OpenAI could have taken, alongside their measured costs.

Alternative

Measured precedent and cost

Limit for OpenAI

Additional equity

March’s $122 billion round completed. $35bn of Amazon’s $50bn conditional on an IPO and other triggers

Hard to raise further above the $852bn valuation, and dilution is large

Accelerated IPO

September Nasdaq target reported, valuation above $1 trillion

Dependent on market conditions. Volatility shown by the last two weeks’ correction

The Oracle approach (lessor borrowing on its own credit)

Oracle’s total debt in the $100bn-plus range, S&P downgrade to BBB- (one notch above junk), CDS at 125bp

A path that exhausts the lessor’s own credit. OpenAI concentration is the very reason cited for Oracle’s downgrade

Off-balance-sheet SPV (Meta-Blue Owl model)

$27.3bn bond, 6.581% coupon, S&P A+

This structure works only because Meta posted a residual-value guarantee on its own credit. OpenAI has no such credit to offer

GPU-backed debt (CoreWeave model)

From an early 15% down to a recent 5.9-9.875%. Galaxy Texas bond coupon at 9.875%

Scale is in the single-digit billions and cost is high

[Fact: deal disclosures and press]

The conclusion the table points to is simple. Every alternative ultimately requires someone’s investment-grade credit. Meta used its own; Oracle is using its own and running it down. Of the parties positioned to lend OpenAI that credit, NVIDIA is the only one whose interests are aligned.

Success and failure criteria. For OpenAI, success has three parts: the financing closes, phase 1 goes live in 2028, and by the time it goes live, token revenue has reached a level that can carry the lease payments on its own. Failure is the reverse. The moment revenue growth breaks and lease payments can’t be made, the guarantee is drawn, and from that point OpenAI stops being an independent company and effectively becomes a workout asset under NVIDIA’s management. There is also an intermediate failure. If the deal itself collapses (a possibility Reuters explicitly noted), the debt market’s no becomes final, and the entire execution pace of the commitment stack gets reset.

3. NVIDIA’s Lens: The Price of the Cheapest-Looking Choice

Meaning and background. Plot NVIDIA’s coordinates too. FY2026 revenue of $215.9 billion, net income of $120.1 billion, FCF of $96.6 billion, cash and investments of about $80.6 billion, equity of $157.3 billion, Aa1 from Moody’s and AA from S&P (both upgraded this year), and in June its first bond issuance since 2021, $25 billion, drew $85 billion in orders. [Fact: disclosures and press] This is the strongest balance sheet in its history. The problem lies on the buyer side of what that balance sheet sells. Hyperscalers are in the middle of transitioning to their own chips, and a large share of incremental demand comes from buyers like OpenAI and the neoclouds, whose credit is not yet fully formed. For the 5GW purchase commitment already booked from OpenAI and the $500-billion-plus backlog to materialize, there has to be a building for those chips to go into, and money has to be raised to build it. This deal is NVIDIA directly manufacturing the precondition for its own revenue.

Comparing alternatives. NVIDIA had four options. Expanding direct investment has already been done through the $30 billion equity stake; more would burn cash and deepen concentration. Doing nothing leaves the backlog’s realization hostage to whether OpenAI’s own financing succeeds. Cutting prices would erode the source of its 75% gross margin. A guarantee sends no cash out the door, does not hit the income statement, and can even come with fees or warrants attached. NVIDIA in fact already discloses a partner-facility lease-guarantee program in its 10-K, receiving warrants in exchange and accounting for it as a credit derivative, capped at $3.5 billion in total. [Fact: FY2026 10-K] From a financial-statement standpoint, a guarantee looks like the cheapest choice. That appearance of cheapness is the trap. $250 billion is 71 times the existing program, 159% of equity, 121% of total assets, and 2.6 times annual FCF. Add the $350 billion of chip financing and the total reaches 3.8 times equity. [Inference: arithmetic against disclosed figures]

Success and failure criteria. For NVIDIA, the definition of success is paradoxical: the guarantee is never drawn. OpenAI pays its own lease bills, the guarantee functions only as credit enhancement before expiring, and along the way $350 billion of chips are recognized as revenue while fees and warrants add to profit. On this path, the guarantee is an insurance-underwriting business and NVIDIA is the one collecting the premium. Failure is the guarantee being drawn. History’s arithmetic supplies the benchmark. At the end of 1999, Lucent’s vendor-financing commitments stood at $8.4 billion, 24% of revenue at the time. When the CLECs collapsed, Lucent wrote off $3.5 billion in bad debt, revenue fell 69%, its stock lost 99.3%, and it came to the brink of bankruptcy. [Fact: SEC filings and historical data] Running today’s total of NVIDIA’s related exposure (equity, guarantee talks, chip-financing talks) against revenue already produces a figure well above Lucent’s 24%. The counterargument is also legitimate: Lucent’s customers were fledgling telecoms surviving on junk bonds, while NVIDIA’s top four customers have a combined annual operating cash flow of $451 billion. [Fact: cited comparative analysis] But that counterargument applies to hyperscalers, and the counterparty to this guarantee is not a hyperscaler but an unrated company losing $14 billion a year. There is a view that the most accurate axis for comparing 1999’s vendor financing with 2026’s is not absolute scale but the speed at which terms loosen, and this evolution, from milestone investment to unconditional equity to debt guarantee, is precisely a measurement of that loosening.

The historical precedent whose structure most closely resembles this one is not Lucent but Motorola-Iridium. Motorola was simultaneously Iridium’s prime contractor, technology supplier, financing provider, and operational participant, with exposure of about $2.2 billion. Iridium filed Chapter 11 in 1999, and creditors sued Motorola for $3.7 billion. [Fact: historical data] The deeper a supplier reaches into a customer’s capital structure, the more the customer’s failure turns from a commercial loss into a matter of litigation and consolidated finance.

4. Success Scenario and Failure Scenario

Combining the two lenses, the scenarios resolve into three.

The success path. Token revenue keeps compounding at an 80-100% annual rate, so that by the time phase 1 goes live in 2028, OpenAI’s revenue reaches the $150-200 billion range. Lease payments are self-funded from operating cash flow, and the guarantee functions purely as credit enhancement without ever being drawn. NVIDIA realizes $350 billion of chip revenue, and the monetization gap ratio tracked in earlier pieces keeps narrowing. On this path, the deal is recorded in hindsight as “the cheapest insurance that locked in demand through 2028.”

The failure path. If revenue growth enters a deceleration that halves every year, operations cannot carry the 2028-2029 lease payments and commitment calls. The moment the guarantee is drawn, NVIDIA’s contingent liability becomes a real one, the chip-financing bonds turn distressed, and the CDS moves from 82bp past triple digits. Credit contagion spreads to Oracle (half of whose RPO is OpenAI), CoreWeave, and the neoclouds, and the clock set up in the Cisco piece moves from mid-1999 into 2000. As Lucent’s precedent shows, the risk-reward on the stock along this path is brutal.

The middle path, deal collapse. In the short run this reads as bad news, the debt market’s final rejection. But in the medium run it can read differently. If the commitment stack’s growth is forcibly decelerated, the risk of 2028 oversupply falls, buying time for the gap ratio’s denominator (revenue) to catch up with its numerator (spending). If what the credit market does is regulate the cycle, a collapse also means that regulation worked.

Which of the three it becomes is decided not by the contract but by measurement. The discriminating variable converges to one: how many multiples has OpenAI’s revenue grown to by the time it goes live in 2028? At 4x from $25 billion ($100 billion), it is precarious; at 6-8x ($150-200 billion), it holds up.

5. The Market’s Concerns: Five Strands

Decomposing the price reaction on the day of the report (NVIDIA -4.99%, below $200, ceding the number one market-cap spot, a record one-day CDS spike) yields five strands of concern.

First, the three-stage completion of circular financing. From equity investment ($30 billion) to purchase commitments, and now to debt guarantee and chip financing. The structure is now complete: the seller backstops its customer’s equity, debt, and purchase financing all at once. Burry called it “around and around we go,” and Chanos wrote that the industry has reached the point where a vendor must guarantee “two-thirds of the cost of the chips it is selling.” [Fact: public statements] In a circular structure, the quality of revenue comes to depend not on final demand but on the durability of the circle itself.

Second, evidence of the debt market’s rejection. The very fact that this guarantee is necessary carries the market’s verdict that a $500 billion project cannot be financed on OpenAI’s own credit. It has to be funded at 25 times the largest project financing ever, and in a market where banks have retreated even from Oracle’s Michigan deal ($16.3 billion), leaving private credit to anchor it instead.

Third, accounting opacity around the contingent liability. There is still no disclosure of how the $250 billion would sit on the balance sheet. If it follows the treatment of the existing program (credit derivative, fair-value changes routed through other income), earnings volatility rises; if it is footnoted as a contingent liability, the leverage exists off-screen. To borrow the phrasing from the Cisco piece, this is a state where the narrative of the strongest balance sheet in history coexists with a footnote worth 159% of equity.

Fourth, a reassessment of counterparty concentration. S&P cut Oracle to one notch above junk because OpenAI accounts for half its contract backlog. That the same lens is now being applied to NVIDIA is what the 82bp CDS means. The ratings (Aa1, AA) remain untouched for now, but market prices move ahead of ratings.

Fifth, the historical base rate. From the emergence of a vendor-financing signature to rupture has historically taken 12-18 months, with the sample of Lucent (-99.3%), Nortel (-99.8%), and Iridium (Chapter 11). The objection that the sample is only three is legitimate, but so is the fact that all three moved the same direction.

6. Conditions That Would Dispel the Concerns: Six Strands

Concerns don’t disappear through commentary. The following measurements are what would make them disappear.

Disclosure of the deal terms. If the fee rate, warrants, collateral, and above all the staged commitment structure (800MW tranches rather than a single $250 billion block) are disclosed, and the pricing is at market level, this deal gets reclassified from a free guarantee to an underwriting business. Confirming a consideration structure, the way the existing $3.5 billion program received warrants, is the first step.

OpenAI’s revenue beating its measured trajectory. If quarterly growth above 80% holds and the year-end $40 billion forecast is confirmed in results, the probability of the 2028 6-8x path rises. Conversely, if growth ever halves even once, the deal’s premise is shaken.

The IPO getting done. If the September-targeted offering is completed, the public equity raised shares the load on the bridge. The market itself agreeing to a $1 trillion-plus valuation is the single biggest boost to OpenAI’s credit.

Actual participation by third-party senior lenders. Even with a guarantee in place, it is ultimately banks and the bond market that put up the money. Just as PIMCO anchored $18 billion in the Meta deal and $10 billion in Oracle’s Michigan deal, if named senior lenders show up on this deal under their own names, it gets judged as credit enhancement rather than credit delegation.

NVIDIA’s disclosure. Whether the 10-K’s guarantee note expands at late-August earnings, and whether the accounting treatment, cap, and trigger provisions are spelled out, is the direct antidote to the accounting-opacity concern.

Growth in demand outside OpenAI. The larger the share of ACIE and sovereign demand grows within NVIDIA’s revenue (reaching the balance point discussed in the Alphabet piece), the less this guarantee’s failure would shake the whole company. If concentration eases, the guarantee becomes a strategy; if it deepens, the guarantee becomes a gamble.

A natural question arises here. If OpenAI turns around, does that dispel every concern? The answer is no. Broken down precisely, it looks like this.

First, the definition of turnaround has to be split into three layers: revenue growth (already happening), an accounting swing to profit, and cash generation after capital expenditure and lease payments. Only the third definition is valid for this deal. As the Alphabet piece showed, cash after capex can be negative even when revenue grows 82%, and even if OpenAI reaches $200 billion in revenue, if commitment calls grow faster than that, external financing is still the party paying the lease bills. The resolution described below only operates once the word “turnaround” satisfies this third definition.

Assuming that definition is met, of the five concerns, two are substantially resolved, two remain, and one may actually grow. The circular-financing concern (first) is resolved: the moment the end customer is paying with its own cash, the circle straightens into a line. The debt market’s rejection (second) is also resolved: sustained cash generation leads to a credit rating, and once OpenAI can borrow on its own credit the guarantee becomes unnecessary and simply expires. Ratings are a lagging indicator of performance, though, so this resolution comes with a lag. Accounting opacity (third), by contrast, can be resolved only by disclosure, not by a turnaround; as the probability of the contingent liability being drawn falls, its materiality shrinks, but the opacity itself remains. Counterparty concentration (fourth) also remains; a counterparty getting healthier and a deep dependence on a single counterparty are different problems, and success tends to become the very justification used for even greater concentration. And the historical base rate (fifth) is subtle. This particular deal’s concern is resolved once the guarantee expires undrawn, but successful vendor financing gets repeated and scaled up. Lucent’s early vendor financing was successful too. Success breeding scale, and scale eventually breeding a failure case, was the actual sequence in 1999. If this deal succeeds, the same structure will likely be replicated next with Anthropic, then with the neoclouds, and the system-wide vendor-financing balance grows precisely through the success of individual deals. In short, what a turnaround dispels is this deal’s concern, not the structure’s concern. [Inference: concern-condition mapping]

7. The Korea Angle and a Reading Table

For Korean memory, this deal is not someone else’s problem. If the $350 billion of chip financing is executed, the credit quality of the HBM orders that go into those chips becomes tied to this guarantee structure. The single largest case for the monitoring frame set up in the Black Tuesday piece, the share of FCF-funded buyers versus financed buyers within the memory buyer mix, is exactly this deal. Galaxy’s 9.875% coupon and Oracle’s BBB- already show where that spectrum currently sits. If Ohio’s chips are bought through financed procurement, then the HBM revenue embedded in those chips is revenue that hinges not on the contract price but on the survival of the bridge. [Inference: buyer-mix framework]

The reading table looks like this.

News of the deal being finalized or collapsing. Read a finalization by the level of terms disclosed, and a collapse as a signal of deceleration in the commitment stack.

The guarantee-related disclosures in NVIDIA’s late-August earnings, and any OpenAI revenue commentary on the same call.

OpenAI’s S-1 filing in September. This is the first time audited figures for revenue, losses, and commitments appear, the moment the denominator in the gap-ratio calculation shifts from estimate to measurement.

Whether Oracle is downgraded further, and the direction of NVIDIA’s 82bp CDS. This is the observation point for the principle that credit moves ahead of equities.

Microsoft’s equity-method line and this week’s Big Tech earnings. The first sample of how OpenAI’s losses arrive on a public company’s income statement.

The discriminator is the same as it has been across this whole series. As long as token revenue grows faster than commitments, this guarantee is insurance that will never be drawn; the moment it breaks, it is a bill for 159% of equity.

Stocks mentioned in this piece are examples for analysis and are not a recommendation to buy or sell any specific security. Responsibility for investment decisions and their outcomes rests with the investor. This deal is a talks-stage matter based on a WSJ exclusive that Reuters could not independently verify and on which all parties declined to comment; no contract has been signed, and the possibility of collapse has been reported alongside it. The guarantee’s accounting treatment and consideration structure have not been disclosed, and ratios such as the equity percentage are own arithmetic based on disclosed figures. OpenAI’s revenue and losses, and Stargate’s actually funded equity, are press-based estimates, not audited figures. The Lucent, Nortel, and Iridium figures are based on SEC filings and historical records but span different eras and accounting standards, and the 12-18 month window from vendor financing to rupture is an observation from a small sample, not a statistical law. Prices and CDS levels are as of the July 27-28, 2026 close.
